Representing banks and other financial institutions has long been a part of Morris, Laing's practice. Our attorneys regularly give advice on day-to-day bank operation questions, work with loan officers on complicated lending transactions, and assist our bank clients with workouts of troubled loans and collection of defaulted loans, including retrieving loan security from bankruptcy proceedings. We have also handled numerous bank sales, mergers, and acquisitions as well as assisting bank clients with the formation of holding companies and obtaining required regulatory approvals.

As more banks are considering changing to a Subchapter S tax status, we have advised several banks on the issues involved and have guided them successfully through the intricacies of the process. When existing ownership has desired to consolidate its ownership, we have advised and assisted clients with reverse stock splits and cash-out mergers.
